Terms of Service

1. Acceptance of Terms
By creating an account or using MediaDingo (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms. If you do not agree, do not use the Service.
2. Description of Service
MediaDingo is a software-as-a-service platform that enables users to create, schedule, and publish social media content with the assistance of AI tools, and to track engagement analytics across connected social media platforms. Features vary by subscription plan.
3. Your Account
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at support@mediadingo.com if you suspect unauthorised access. We are not liable for losses caused by unauthorised use of your account.
You must be at least 18 years old to use the Service. You must provide accurate registration information and keep it up to date.
4. Ownership of Your Content
You retain full ownership of all content you create, upload, or generate using MediaDingo — including posts, copy, images, brand assets, campaigns, and analytics data ("Your Content"). We claim no intellectual property rights over Your Content.
By using the Service, you grant MediaDingo a limited, non-exclusive, royalty-free licence to store, process, and transmit Your Content solely as necessary to provide the Service to you. This licence terminates when you delete the content or close your account.
You are solely responsible for Your Content, including ensuring you have the rights to post it to any connected social media platform and that it complies with those platforms' terms and applicable law.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Infringe the intellectual property rights of others
- Publish spam, misleading content, or coordinated inauthentic behaviour
- Harass, threaten, or harm any person
- Attempt to gain unauthorised access to the Service or its infrastructure
- Reverse-engineer, decompile, or create derivative works of the Service
- Use the Service in a way that violates the terms of any connected social media platform
We reserve the right to suspend or terminate accounts that violate these provisions, without notice, at our sole discretion.
6. Payment and Subscriptions
Paid plans are billed in advance on a monthly or annual basis through Stripe. All fees are non-refundable except as required by applicable law or as explicitly stated in writing by us. Prices are in USD and may change with 30 days' notice.
All paid plans include a 14-day free trial. No credit card is required to start. At the end of the trial, you will be asked to provide payment to continue on a paid plan; if not, your account will revert to the Free plan.
If a payment fails, we will notify you and provide a grace period to update your payment method. Access to paid features may be restricted until payment is resolved.
7. Cancellation
You may cancel your subscription at any time from your billing settings. Cancellation takes effect at the end of the current billing period; you retain access to paid features until then. We do not provide prorated refunds for unused time.
You may close your account at any time. Upon closure, your content will be deleted within 30 days in accordance with our Privacy Policy.
8. Intellectual Property
The MediaDingo platform, including its software, design, trademarks, and branding, is owned by MediaDingo and protected by intellectual property law. Nothing in these Terms transfers ownership of the platform to you. You may not use our name, logo, or trademarks without our prior written consent.
9. Third-Party Integrations
The Service connects to third-party social media platforms and services. These integrations are subject to the terms and conditions of those third parties, which may change without notice. We are not responsible for the availability, content, or conduct of any third-party platform, and we may modify or discontinue an integration if a third-party platform changes its policies or API.
10. AI-Generated Content
MediaDingo uses AI to assist in generating content suggestions. AI-generated output is provided as a starting point and may contain inaccuracies or errors. You are solely responsible for reviewing, editing, and approving all content before it is published. We make no warranties regarding the accuracy, originality, or fitness for purpose of AI-generated content.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT ANY CONTENT WILL BE SECURE, ACCURATE, OR RELIABLE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MEDIADINGO AND ITS OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).
13. Indemnification
You agree to indemnify and hold harmless MediaDingo and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, Your Content, or your violation of these Terms.
14. Governing Law and Disputes
These Terms shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved exclusively by binding arbitration administered under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property rights or confidential information.
You waive the right to participate in any class action lawsuit or class-wide arbitration.
15. Changes to These Terms
We may update these Terms from time to time. We will provide at least 14 days' notice of material changes via email or a prominent in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
